Terms of Use

These Terms of Use (“Terms”) govern your access to https://alphafolioz.com, the Alpha product, and related websites, apps, and services (together, the “Services”).

The Services are operated by TURBOGAINS FINTECH SOLUTIONS PRIVATE LIMITED (“Turbogains”, “we”, “us”), a private limited company incorporated in India on 8 September 2025 under the Companies Act, 2013. Alphafolioz and Alpha are brands of Turbogains. We are a software company. We are not a SEBI-registered investment adviser, research analyst, portfolio manager, stock broker, or mutual fund.

By visiting the site, booking a demo, creating an account, or using the Services, you agree to these Terms and to our Privacy Policy. If you use the Services for a firm, you confirm you have authority to bind that firm.

If you do not agree, do not use the Services.

Alpha is an operating layer for SEBI-registered investment advisers (“RIAs”): onboarding, idea review, trade sizing per book, fee collection, invoicing, and an advisory log. Invited clients of an RIA may use a limited customer app to see tasks, goals, and related information from their adviser.

• We do not provide investment advice, research recommendations, or a recommendation to buy or sell any security.
• We do not execute trades, hold client securities, or take custody of client money.
• Model output, backtests, persona books, and research briefs are software tools for the RIA. They are not live client returns and are not a promise of future performance.
• The RIA remains the adviser of record. The RIA is solely responsible for advice given to clients and for compliance with the SEBI (Investment Advisers) Regulations, 2013 and other applicable law.
• Markets involve risk of loss, including loss of principal.

The Services are intended for:

• SEBI-registered investment advisers and their authorised staff (the RIA desk);
• Natural persons in India, 18 years or older, whom an RIA invites as a client user; and
• Prospective RIAs who book a demo or join a waitlist.

We may refuse, suspend, or end access if we reasonably believe you are not eligible, your registration is not in good standing, or you breach these Terms.

RIA access is invite-only. Client access is tied to the email and mobile the RIA records for that person. You must provide accurate information, keep credentials confidential, and tell us promptly of unauthorised use.

You are responsible for activity under your login. We may use session cookies and similar technology so you stay signed in, as described in the Privacy Policy.

If you use the Services as an RIA or on behalf of an RIA, you:

• Warrant that you (or your firm) hold a valid SEBI IA registration and will keep required disclosures current on the platform;
• Remain solely responsible for KYC, suitability, risk profiling, advice, trade instructions to the client, and records you are required to keep;
• Will only upload or invite client data that you are lawfully entitled to process, and will give clients any notices their relationship with you requires;
• Approve or reject model ideas yourself. Nothing is added to a client book unless you approve it;
• Configure your own payment gateway if you collect fees through Alpha. Advisory fees settle to your account, not ours. You are responsible for GST, invoices you issue in your name, and your payment-provider terms;
• Will not represent Alphafolioz, Alpha, or Turbogains as the client's investment adviser.

If you use the customer app, you do so as a client of your RIA, not as a client of Turbogains. Tasks, goals, risk answers, invoices, and messages you see are part of that advisory relationship. Questions about advice, fees, or trades should go to your RIA.

Paying an advisory fee through a link we host pays your RIA. It does not create an advisory contract with us.

Booking a demo or joining a waitlist is a request for contact, not an offer or a guaranteed slot. We may use the name, firm, SEBI registration (if given), email, WhatsApp number, family count, and AUA you submit to size and schedule a conversation.

Our charges to an RIA (seat and per-client software fees) are agreed separately, typically after a demo. Unless we say otherwise in writing, fees are in Indian rupees and exclusive of applicable taxes.

Client advisory fees are set by the RIA, billed in the RIA's name, and collected via the RIA's payment provider. We are not a party to that fee contract.

You will not:

• Misuse the Services, probe or disrupt them, or bypass access controls;
• Scrape, copy, or reverse engineer the models, scorers, or non-public interfaces except as Indian law expressly allows;
• Upload unlawful, misleading, or infringing content, or personal data you have no right to share;
• Use the Services to provide investment advice if you are not permitted to do so, or to solicit deposits or funds from the public;
• Resell or white-label the Services without our written consent.

We and our licensors own the Services, including software, models, backtests, research formats, branding, and documentation. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription or authorised access, solely for your internal advisory practice or as an invited client.

You retain rights in data you submit. You grant us a licence to host, process, and display that data as needed to run the Services, support you, and meet law.

The Services rely on providers such as Google Cloud and Firebase (hosting and sign-in), MSG91 (email and WhatsApp), Razorpay (payments on the RIA's account), and market-data or research tools. Their terms apply to their services. We are not responsible for a third-party outage, change, or error.

The Services are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant that model output, sizes, logs, invoices, or messages are complete, current, or suitable for any decision. You must apply your own judgement (or your RIA's, if you are a client).

To the fullest extent permitted by law, Turbogains and its directors, officers, and employees are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or trading losses, even if advised of the possibility.

Our total liability arising out of the Services is limited to the software fees you paid us for the three months before the claim, or one thousand Indian rupees if you have paid us nothing.

Nothing in these Terms limits liability that Indian law does not allow to be limited, including for fraud or personal injury caused by negligence.

You will indemnify and hold us harmless from claims, losses, and reasonable legal costs arising from your use of the Services, your advice or communications to clients, data you submit, your payment and tax obligations, or your breach of these Terms or applicable law.

You may stop using the Services at any time. We may suspend or end access for breach, legal risk, non-payment, or if we discontinue a feature. On termination, your licence ends. We may retain data as described in the Privacy Policy and as needed for law, disputes, or billing.

We may update these Terms. The updated version will be posted at https://alphafolioz.com/terms with a new “Last updated” date. Continued use after the change is acceptance of the new Terms. Material changes to a paid RIA subscription will be notified to the account email where practicable.

These Terms are governed by the laws of India. Courts at Lucknow, Uttar Pradesh have exclusive jurisdiction, subject to any non-waivable rights you have under applicable law.
